These Website Terms of Use (“Terms”) are entered into by and between you and THRIVEKIDS GI CARE, P.C., a California Professional Medical Corporation doing business as Thrivewell Kids (“Thrivewell Kids,” “Practice,” “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the Thrivewell Kids website, including any content, functionality, and services offered on or through the public-facing website (the “Site”).
By accessing or using the Site, you accept and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
1. Scope of These Terms
These Terms apply only to the public-facing Site. The Site is separate from any patient portal, telehealth platform, intake workflow, consent packet, financial agreement, Notice of Privacy Practices, or other patient-facing documentation used in connection with medical care.
If you become a patient, your clinical care, telehealth interactions, payment obligations, privacy rights, informed consent, and other matters related to treatment will be governed by separate agreements, consents, notices, and practice policies presented during enrollment or through the secure patient portal.
2. Informational Use Only; No Medical Advice
The Site is provided for general informational and educational purposes only. Content on the Site is not medical advice, does not constitute diagnosis or treatment, and is not a substitute for consultation with a qualified healthcare professional.
Use of the Site does not create a physician-patient relationship between you and Thrivewell Kids, Rebecca Winderman, MD, or any other clinician. A physician-patient relationship is formed only after the Practice has completed its intake and enrollment process, all required consents and agreements have been executed, and the Practice affirmatively agrees to provide care.
Do not disregard, avoid, or delay obtaining medical advice from your own physician or other qualified healthcare professional because of something you have read on the Site. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
3. California-Only Practice; Eligibility Context
The Practice described on the Site is a California telehealth-only pediatric specialty practice. Clinical services are limited to California residents, and patients must be physically located in California at the time of each telehealth encounter.
References on the Site to services, programs, or clinical availability are directed only to persons who satisfy the Practice’s eligibility requirements. Nothing on the Site constitutes an offer to provide medical services in any jurisdiction where the Practice is not authorized to operate.
The Practice’s current clinical focus is adolescents and young adults ages 12 through 21, subject to clinical eligibility, exclusions, and intake review.
4. Website Is Not for Emergencies or Time-Sensitive Care
The Site and any general contact mechanism available through the Site are not appropriate for medical emergencies, urgent situations, or time-sensitive communications. The Practice does not monitor the Site or website contact submissions continuously.
If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. If you are an existing patient, follow the communication procedures provided through the secure patient portal and other Practice instructions.
5. No PHI or Clinical Information Through the Site
Protected health information and clinical communications must be handled through Healthie and related secure workflows rather than through the public WordPress website.
You agree not to submit medical records, detailed symptoms, insurance information, prescription details, photographs of medical conditions, or other sensitive health information through any public website form, general email address, or other non-secure channel identified on the Site unless the Practice expressly directs otherwise in writing. If you choose to send information through a non-secure channel, you do so at your own risk.
The Practice may, in its discretion, delete, decline to respond to, or redirect submissions that appear to contain sensitive medical or personal information.
6. No Guarantees or Outcome Promises
The Site may describe medical conditions, treatment approaches, medications, care models, educational concepts, or the Practice’s philosophy of care. Such descriptions are illustrative only and do not guarantee eligibility, prescription issuance, treatment success, weight loss, clinical improvement, or any other specific result.
The Practice does not make guarantee language and does not represent that any patient will achieve a particular outcome.
7. Medication-Related Statements
The Site may reference GLP-1 medications and related treatment concepts. Any such references are for general informational purposes and are subject to change as medical standards, approvals, and clinical practice evolve.
The Practice prescribes only FDA-approved GLP-1 medications in FDA-approved age populations, does not prescribe compounded GLP-1 medications, and currently uses Wegovy for minors and on-label adult prescribing as applicable to the 18–21 cohort.
Nothing on the Site is a promise that any medication will be prescribed, available, covered, affordable, tolerated, or clinically appropriate for any individual.
8. Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable federal, state, local, or international law or regulation.
- Attempt to gain unauthorized access to any portion of the Site, server, database, administrator panel, or connected system.
- Interfere with or disrupt the Site, including through malware, denial-of-service activity, scraping, automated access, or other harmful code or conduct.
- Use the Site to transmit spam, unsolicited promotional materials, or fraudulent or misleading communications.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Submit false, misleading, or incomplete information through the Site.
- Attempt to use the Site to obtain medical care outside the Practice’s intake, consent, and enrollment process.
9. Intellectual Property Rights
The Site and its entire contents, features, and functionality, including text, graphics, images, logos, software, design, selection, arrangement, and overall look and feel, are owned by Thrivewell Kids, its licensors, or other content providers and are protected by United States and international intellectual property laws.
Subject to these Terms, you are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or exploit any material on the Site except as expressly permitted in writing.
The Thrivewell Kids name, branding, and related marks may not be used without prior written permission. Any unauthorized use of the Site terminates the limited license granted by these Terms.
10. Third-Party Services and Links
The Site may contain links to third-party websites, services, applications, social media platforms, pharmacy resources, manufacturer savings-program pages, or other external resources. The Practice may provide links or information regarding manufacturer savings programs as a patient service, and the Practice receives no payment, commission, rebate, or other remuneration in connection with such assistance.
These third-party resources are provided only as a convenience. Thrivewell Kids does not control and is not responsible for the content, privacy practices, security, availability, accuracy, or terms of use of any third-party site or service. Accessing third-party resources is at your own risk.
11. Communications and Consent to Contact
General website contact channels are intended for ordinary business inquiries only. They are not intended for urgent medical needs, detailed clinical questions, or protected health information.
The Practice does not send unsolicited SMS, requires express written consent before any SMS outreach, and honors opt-outs in accordance with applicable law and its compliance practices.
By submitting a contact request through the Site, you consent to receive a response from the Practice using the contact information you provide, for the limited purpose of addressing your inquiry. That consent does not authorize marketing text messages, autodialed calls, or other communications beyond what applicable law permits.
12. Privacy
Use of the Site is also subject to the Practice’s Privacy Policy, which is incorporated into these Terms by reference. To the extent the Site offers a separate Notice of Privacy Practices or patient privacy disclosures for clinical services, those documents apply to medical information collected in the context of treatment, payment, or healthcare operations, not necessarily to ordinary website browsing.
The Practice’s website privacy policy includes California consumer-rights disclosures under the CCPA / CPRA.
13. Payment and Financial Terms
If the Site allows you to request, initiate, or facilitate enrollment in paid services, all charges, billing practices, cancellation rights, refund terms, and treatment-period commitments are subject to separate financial agreements presented by the Practice. The Practice operates a cash-pay subscription model of $250 per month with a three-month minimum commitment and specified pro-rata refund rights in certain circumstances, but those terms are controlled by the operative patient financial documents, not by this Site alone.
The Practice may use third-party payment processors, and any payment transaction may also be subject to the processor’s terms, conditions, and privacy practices.
14. Disclaimer of Warranties
THE SITE AND ALL CONTENT, INFORMATION, FUNCTIONALITY, AND MATERIALS MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY LAW, THRIVEWELL KIDS DISCLAIMS ALL WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, THRIVEWELL KIDS DOES NOT WARRANT THAT THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF DEFECTS, OR THAT DEFECTS WILL BE CORRECTED.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THRIVEWELL KIDS, THRIVEKIDS GI CARE, P.C., REBECCA WINDERMAN, MD, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THRIVEWELL KIDS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT, IF ANY, YOU PAID DIRECTLY TO THRIVEWELL KIDS SOLELY FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS APPLY WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THRIVEWELL KIDS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
16. Indemnification
You agree to defend, indemnify, and hold harmless Thrivewell Kids, THRIVEKIDS GI CARE, P.C., Rebecca Winderman, MD, and their respective officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Site.
17. Modifications to the Site and Terms
The Practice may update, revise, suspend, discontinue, or modify the Site or these Terms at any time, in its sole discretion. All changes are effective immediately upon posting unless otherwise stated.
Your continued use of the Site after revised Terms are posted means you accept the changes. You should review these Terms periodically.
18. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by the laws of the State of California, without regard to its conflict-of-law principles.
Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in California, unless the Practice elects in its sole discretion to require arbitration pursuant to a separate written agreement. You consent to the personal jurisdiction of such courts.
19. No Waiver; Severability
No waiver by Thrivewell Kids of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with any policies or documents they expressly incorporate by reference, constitute the entire agreement between you and Thrivewell Kids regarding the Site. To the extent you enter into separate patient agreements, consents, privacy notices, or financial documents with the Practice, those separate documents will control with respect to the subjects they address.
